Terms of Use

Welcome to Draup. These Terms of Use (“Terms”) govern your access to and use of www.draup.com, platform.draup.com, and our affiliated websites and online properties (collectively, the “Sites”) provided by Draup, Inc. (“Draup”, “we”, “us”, or “our”). By accessing or using the Sites, you agree to be bound by these Terms and our Privacy Policy, Cookie Policy, and Legal Disclaimer, which are incorporated by reference. If you do not agree, please do not use the Sites.

Access to the Draup Talent Intelligence and Sales Intelligence platforms and other paid services available through platform.draup.com (collectively, the “Draup Platform”) is governed by a separate written agreement between Draup and the customer (the “Customer Agreement”). These Terms apply to your general use of the Sites; where there is any conflict between these Terms and a Customer Agreement, the Customer Agreement controls for the subject matter of that conflict.

1. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the “Effective” date at the top of this page. Your continued use of the Sites after we post changes means you accept the updated Terms. If you do not agree to the updated Terms, please stop using the Sites.

2. Eligibility

The Sites are intended for business and professional use by adults. By using the Sites, you confirm that you are at least 18 years old and that you have the legal capacity to enter into these Terms. If you use the Sites on behalf of an organization, you confirm that you are authorized to bind that organization to these Terms.

3. Permitted Use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Sites for your internal business and informational purposes. You may not:

  • Resell, sublicense, distribute, or commercially exploit the Sites or any content on them, except as expressly permitted in writing by Draup;
  • Scrape, crawl, harvest, frame, mirror, or otherwise extract data or content from the Sites through automated or manual means, except through tools or APIs we expressly authorize;
  • Use the Sites or any content on them to build, train, fine-tune, or improve any competing product, dataset, large language model, or machine-learning model;
  • Reverse engineer, decompile, or attempt to derive the source code or underlying ideas of the Sites or any software made available through them, except to the extent permitted by applicable law;
  • Interfere with or disrupt the Sites, or attempt to gain unauthorized access to any part of the Sites, related systems, or other users’ accounts;
  • Use the Sites in any way that violates applicable law, infringes third-party rights, or is fraudulent, harmful, or deceptive.

4. Accounts and Access Credentials

Some areas of the Sites, including the Draup Platform at platform.draup.com, require an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at info@draup.com if you suspect unauthorized use of your account. Draup is not liable for any loss arising from unauthorized use of your account that we could not reasonably have prevented.

5. Intellectual Property

The Sites and all content on them — including text, graphics, logos, icons, images, software, code, designs, data, taxonomies, methodologies, and the selection and arrangement of content — are owned by Draup or its licensors and are protected by U.S. and international intellectual property laws.

“Draup”, the Draup logo, “Draup for Talent”, “Draup for Sales”, “Etter”, “Curie”, and other Draup product and feature names are trademarks of Draup, Inc. You may not use these marks without our prior written consent. All other trademarks are the property of their respective owners. All rights not expressly granted to you in these Terms are reserved.

6. AI Features and Outputs

Parts of the Sites and related demonstrations may include AI-generated content, agents, or outputs (“AI Features”). AI Features are probabilistic and may produce outputs that are inaccurate, incomplete, biased, or otherwise unsuitable for a particular purpose. You should not rely on AI outputs as a substitute for professional advice or independent verification, and you remain responsible for any decision you make based on them. You may not use AI Features to extract underlying models, prompts, training data, or to train or improve any competing AI system.

7. Submissions and Feedback

If you submit comments, ideas, suggestions, or other feedback about the Sites or Services (“Feedback”), you grant Draup a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate the Feedback into our products and services without obligation or attribution to you. Do not send us confidential information or unsolicited proposals you expect us to treat as confidential.

8. Third-Party Links and Services

The Sites may contain links to third-party websites, social media platforms, marketplaces, and services. We provide these links for your convenience only. We do not control, endorse, or assume responsibility for any third-party content, and your use of any linked site or service is at your own risk and subject to that party’s own terms and privacy policy.

9. Privacy

Your use of the Sites is also governed by our Privacy Policy, EU User Privacy Policy (for users in the EU/EEA), and Cookie Policy, which describe how we collect, use, and protect personal information.

10. Disclaimer of Warranties

The Sites and all content, materials, and AI Features are provided “as is” and “as available”, without warranty of any kind, whether express, implied, or statutory. Draup and its licensors disclaim all warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy, and any warranties arising out of course of dealing or usage of trade. We do not warrant that the Sites will be uninterrupted, secure, or error-free, or that any data, insight, or output will be accurate, complete, current, or fit for any particular purpose.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Draup and its affiliates and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Sites, even if we have been advised of the possibility of such damages. Draup’s total liability for any claim arising out of or relating to these Terms or your use of the Sites will not exceed the maximum extent permitted by law. Some jurisdictions do not allow these limitations, so portions of this section may not apply to you.

12. Termination

We may suspend or terminate your access to the Sites at any time, with or without notice, if we believe you have violated these Terms or applicable law, or if we are required to do so. The sections of these Terms that by their nature should survive termination will survive, including those on intellectual property, disclaimers, limitation of liability, and governing law.

13. Governing Law

These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Sites will be brought exclusively in the state or federal courts located in Montgomery County, Texas, and you consent to the jurisdiction of those courts.
